Image and Video Upload Terms & Conditions

You can upload video or image content you have created (“Videos or Images”) by submitting your content to nona.media, LLC. aka, Nonahood News. (“NHN”).

NHN is not liable for technical, hardware, or software failures of any kind or lost, inconsistent or unavailable network connections that may limit or prohibit Video or Image from being uploaded.

NHN may, but is not required to, use in its sole discretion any Video or Image you upload. By uploading your Video or Image you grant to NHN the royalty-free, worldwide, nonexclusive, unlimited, irrevocable, nonterminable, perpetual license and permission, throughout the world and for all time, to use, display, broadcast, distribute, reproduce, alter, crop, edit, modify, adapt, and prepare derivative works of the Video or Image, in whole or in part, in any and all media, in unlimited number, and by any and all means now known or hereafter devised, together with the right to freely sublicense others to do any or all of the foregoing.

You agree that you will not upload any content that is illegal, derogatory, offensive, libelous, defamatory, obscene, profane, promotes hatred or harm against any animal, group or person, incites prejudice or hatred, or otherwise does not comply with the mission, theme and spirit of NHN.

You represent and warrant that you are the sole and exclusive owner of all rights, including copyright, in and to the Video and of the full and unconditional right to grant the use of the Video or Image; that the Video or Image does not infringe upon the rights including, but not limited to, intellectual property rights, right of privacy or publicity and do not defame any third party; that you are at least eighteen (18) years of age; and that you have full right and authority to grant NHN the rights granted herein.

You represent and warrant that you have obtained, at your own expense, written consents and releases in a form acceptable to NHN from all persons (including, but not limited to, the parents or legal guardians of minor children) and for all property appearing in the Video or Image which shall permit NHN to exercise all rights granted under this agreement.

Such consents and releases will not create any obligation on NHN’s part to third parties, and those parties shall have no claim whatsoever against NHN under any circumstances. You shall provide such releases upon NHN’s request. You agree to be solely responsible for any legal liability arising out of or relating to the Video or Image.

You agree to release, indemnify, defend and hold harmless NHN from any and all liability that may occur in connection with the use of the Video or Image by NHN and arising out of or relating to the breach or alleged breach of the foregoing representations and warranties.

You acknowledge and agree that NHN shall be entitled to disclose your identity to any third party who claims that any Video or Image uploaded by you infringes his/her rights. You acknowledge that you have read, understand and agree with every provision of these terms and by uploading the Video or Image, you hereby certify that you accept and agree to abide by them.
